Our corporate practice specialises in advising on joint ventures. As a core part of our offering, we support investors and entrepreneurs, advising them on structuring, drafting, and negotiating joint venture agreements to ensure that their interest is protected.

We work collaboratively across all our practice groups, offering a broad range of supporting advice in areas such as regulation and licensing, intellectual property rights, tax, antitrust, employment, and real estate. We are experienced in advising a wide range of joint venture structures and are able to advise on the commercial and strategic issues involved, as well as dealing with local regulators.

We advise on transactions involving private equity and venture capital funds, which include fund formation, deal structuring and financing, and exit strategies. The transactions which we have advised on include seed, series A to mezzanine transactions, and exits by way of trade sale and/or initial public offering.

Structure and establishment of funds in Malaysia, Labuan, and other tax friendly foreign jurisdictions. Our role often extends to advising on the management and exit mechanisms for investors.

We advise on the structure and implementation of debt restructuring schemes by providing legal support throughout intensive negotiations with creditors, assisting in the formulation of strategies for restructuring and implementation of such schemes. We also advise companies in distressed situations on schemes of arrangements and negotiations with creditors and other stakeholders, handling the transactional aspects in the transfer of assets recovered.

We advise on legal issues in relation to the conduct of Labuan business activities from Labuan International Business and Financial Centre, and the structuring of transnational businesses through Labuan.

We are also involved in the establishment of private and public investment funds in Labuan International Business and Financial Centre. Our role includes the drafting of investment memorandum and coordination of the applications to the relevant authorities.
