Practice Focus
Ming Sun has been in legal practice in Kuala Lumpur and in the Labuan International Business Financial Centre since 1996. He is corporate partner and his area of expertise lies in domestic and international corporate finance transactions.
The transactions he is actively called upon to advice include, mergers and acquisitions, domestic and cross border public listing of equities, takeovers offer, privatisations, corporate and debt restructuring exercises as well as cross border Regulation S/Rule 144A debt securities offerings under the US Securities Act.
He regularly represents domestic and international corporations and financial institutions and is our principal partner advising on matters in relation to Labuan laws.

Experience & Credentials
Ming Sun has advised on numerous mergers and acquisitions in wide ranging industries including, licensed financial institutions, stock broking houses, insurance companies, social media companies, construction and water treatment plants, retail and distributive trades, manufacturing businesses and education.
He is also in the Capital Markets practice group and often engaged in domestic and cross border public listing of equities on the Malaysian, London, Hong Kong, Singapore and Australian stock exchanges as well as cross border Regulation S/Rule 144A debt securities offerings under the US Securities Act.
In addition, he often acts in transactions involving private equity and venture capital funds which include fund formation, deal structuring, investment, equity and debt financing and exit strategies. The transactions which he advised on include seed, series A to mezzanine transactions and exits by way of trade sale and/or initial public offering.

Equity Capital Market
Structuring, advising and acting as lead counsel for domestic and regional initial public offerings.
Responsibilities include conducting legal due diligence, drafting of legal documentation and prospectus for the following corporate exercises:
- Initial Public Offering of a rubber glove manufacturer on the Main Market of Bursa Malaysia Securities Berhad (Malaysian Stock Exchange)
- Initial Public Offering of, an end-to-end animal health solutions provider, on the Main Market of Bursa Malaysia Securities Berhad
- Initial Public Offering of a group of companies specialised in printing business on the ACE Market of Bursa Malaysia
- Initial Public Offering of a regional freight forwarding group of companies on the ACE Market of Bursa Malaysia Securities Berhad
- Initial Public Offering of a regional logistics group of companies on the ACE Market of Bursa Malaysia Securities Berhad
- Initial Public Offering of an ICT regional solution group of companies on the ACE Market of Bursa Malaysia Securities Berhad
- Initial Public Offering of an international fully integrated container services company on the Hong Kong Stock Exchange
- Initial Public Offering of a company involved in manufacturing and selling of food ingredients, and trading of food ingredients on the LEAP Market of Bursa Malaysia Securities Berhad
- Initial Public Offering of a registration portal company on the LEAP Market of Bursa Malaysia Securities Berhad
Mergers and Acquisitions / Joint Ventures
Structuring, advising and acting as lead counsel for investments, mergers and acquisitions and shareholder agreements arrangements.
Responsibilities include conducting legal due diligence, drafting, negotiating and finalising Joint Venture Agreements, Shareholders Agreements, Investment / Subscription Agreements for the following transactions:
- Acquisition of the entire share capital of a licensed financial institution under the Malaysian Banking and Financial Institutions Act, 1989
- Disposal of the entire share capital of a licensed insurance company under the Malaysian Islamic Financial Services Act, 2013
- Acquisition of the entire share capital of a company in the confectionary industry by way of a member’s scheme of arrangement pursuant to the Malaysian Companies Act, 2016
- Acquisition of the entire share capital of a company engaged in the business of manufacturing and distribution of pharmaceutical products
- Acquisition of 85% of the share capital of a Singaporean company which provides outpatient diagnostic and molecular imaging and radiopharmaceuticals services, sale of radiopharmaceuticals products (comprising radiotracers and radioisotopes) and provision of general medical services
- Subscription of redeemable convertible preference shares by a Labuan Private Fund in a co-working space business which eventually led to a listing on NASDAQ
- Acquisition of part of the share capital by a regional private equity fund of a leading licensed tertiary education establishment under the Malaysian Private Higher Educational Institutions Act, 1996
- Subscription of redeemable convertible secured notes by a regional private equity fund in a business involving trading of scaffolding materials and provisions of engineering services
- Acquisition of the entire share capital by a regional private equity fund of a company engaged in the business of operation of supermarket and wholesaler of general provision goods
- Subscription of convertible preference shares by a Private Fund in a Singapore company involved in the business of developing, marketing and supporting a financial services market place and platform through the use of technology that facilitates peer-to-peer financing
Establishment of Private Fund
- Structuring, advising and acting as lead counsel in respect of the establishment of Private Equity Funds. Responsibilities include conducting legal due diligence, drafting of legal documentation and information memorandum.
Qualifications
Ming Sun graduated with a Bachelor of Laws degree (LLB) from the University of Newcastle, United Kingdom in 1993. He subsequently obtained his Master’s degree (M.Sc) in International Banking and Finance in 1994 from the University of Southampton, United Kingdom.
He is a Barrister-at-Law of the Middle Temple and was called to the Bar of England and Wales in 1995, the Malaysian Bar in 1996 and the Singapore Bar in 2001.
